Welcome to Epic Marketing Global. By accessing our website ([Insert Website URL]) or engaging our digital marketing, SEO, and consulting services, you agree to be bound by these Terms of Service (“Terms”). If you are entering into this agreement on behalf of a company or other legal entity (such as a dental practice), you represent that you have the authority to bind such entity to these Terms.
Epic Marketing Global provides Business-to-Business (B2B) digital marketing services, including but not limited to Search Engine Optimization (SEO), pay-per-click (PPC) advertising management, content creation, and website optimization.
The specific deliverables, timelines, project scopes, and fees for your campaigns will be outlined in a separate written proposal, Statement of Work (SOW), or formal Invoice. In the event of a conflict between these general Terms and a specific SOW, the terms of the signed SOW will prevail.
Advance Payment: Unless otherwise stated in writing, all monthly retainer fees, setup fees, and project-based payments must be paid in full before work commences.
Recurring Billing: Monthly marketing retainers are automatically billed on a recurring cycle based on your onboarding date.
Late Payments: We reserve the right to suspend all active marketing campaigns, SEO optimization work, and website support if an invoice remains unpaid for more than seven (7) days past its due date. Epic Marketing Global is not responsible for any drop in search rankings, traffic loss, or ad campaign disruption resulting from service suspensions due to non-payment.
Taxes: Client is responsible for all applicable sales, use, or value-added taxes associated with the services.
To achieve optimal marketing results, active cooperation from the Client is required. You agree to:
Provide timely access to necessary digital assets, including website hosting credentials, Google Business Profile, Google Analytics, Meta Business Manager, and existing brand assets.
Provide accurate organizational data and review deliverables (such as copy, design layouts, and keyword strategies) promptly.
Approval Delays: If a campaign or project is delayed because the Client fails to provide necessary approvals, access, or content within ten (10) business days of a request, Epic Marketing Global reserves the right to bill for the monthly period as scheduled. Delays caused by the client do not entitle the client to refunds or credits.
You acknowledge and agree that digital marketing, search engine algorithms, and advertising landscapes are inherently volatile and controlled by third parties (e.g., Google, Meta).
Epic Marketing Global uses industry-accepted best practices but does not guarantee specific search engine rankings, exact traffic increases, a specific number of patient leads, or exact return on investment (ROI).
Any past case studies, testimonials, or performance metrics shared on our website or in proposals are illustrative examples and do not represent a guarantee of identical future results.
Agency Property: We retain all rights, title, and interest in our proprietary tools, methodologies, pre-existing software templates, and internal strategies used to execute your marketing campaigns.
Client Deliverables: Upon full and final payment of all outstanding invoices, Epic Marketing Global transfers ownership of customized deliverables created specifically for you (such as written blog content, graphics, and custom website layouts) to the Client.
Client Materials: You grant us a non-exclusive, worldwide, royalty-free license to use your logos, trademarks, and existing content strictly for the purpose of executing the marketing services.
Because we specialize in dental marketing, the Client explicitly warrants that:
Any patient testimonials, before-and-after photographs, or case studies provided to us for use in marketing campaigns have been fully authorized by the respective patients via explicit, HIPAA-compliant written consents.
The Client will not provide Protected Health Information (PHI) to Epic Marketing Global outside of standard, non-clinical B2B operational inquiries.
All content provided by the Client does not infringe upon any third-party copyrights, trademarks, or privacy rights.
To the maximum extent permitted by applicable law, Epic Marketing Global, its directors, employees, or partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
Your use of or inability to use our services.
Changes made to search engine algorithms or platform policies (e.g., Google core updates, ad account suspensions by Meta).
Any unauthorized access to your website or hosting by third-party hackers.
In no event shall our total aggregate liability for all claims arising out of or relating to these Terms exceed the total amount paid by you to Epic Marketing Global during the three (3) months immediately preceding the event giving rise to liability.
You agree to defend, indemnify, and hold harmless Epic Marketing Global and its personnel from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including legal fees) arising out of or related to:
Your breach of any provision of these Terms.
Any content or patient material you provide that violates HIPAA regulations or infringes on third-party intellectual property.
Your operational business activities and clinical practices.
Termination for Convenience: Either party may terminate an ongoing monthly service agreement by providing thirty (30) days written notice, subject to any minimum commitment periods specified in your SOW.
Termination for Cause: We reserve the right to terminate this agreement immediately and without notice if you violate these Terms, engage in illegal business practices, or fail to cure an invoice delinquency within ten (10) days of a written warning.
These Terms and any dispute arising out of them shall be governed by and construed in accordance with the laws of the United States and the State of [Insert State, e.g., Delaware or your registration state], without regard to its conflict of law principles.
